Bearer Club

DRAFT: not yet reviewed by a lawyer. Not legally binding. Do not rely on this text.

Last updated: DRAFT 2026-10-16b

Terms of Service

These draft terms describe how Bearer Club is meant to work. They are a working outline for counsel, not final legal text. [TODO(COUNSEL)] draft the full terms from this outline.

Who we are

Bearer Club is operated by California Chicken Co. d/b/a Bearer Club, a Delaware corporation in the United States ("we", "us"). These terms cover the website at bearer.club, the API at https://api.bearer.club/v1, the dashboard and the playground.

Eligibility

  • You must be 18 or older to create an account or use the API.
  • You may use Bearer Club only from supported regions, and each model only in the regions its provider supports.
  • Guest accounts aren't available in the EU/EEA, the United Kingdom or Switzerland at launch.

Accounts and API keys

  • You can sign up with an email and password or with a supported sign-in provider. Keep your login details accurate and secure.
  • API keys are your membership card. Keep them secret. You're responsible for usage on your keys.
  • Don't share, sell, rent or transfer keys or accounts, and don't resell access to the API.
  • We show a key in full only once, when you create it. We store a one-way hash and a short prefix, so we can't show it again. Revoke and replace a key if it leaks.
  • Each key has a data policy and can have a monthly spend cap. You manage both in your dashboard.
[TODO(COUNSEL)] review account, credential and key-security terms now that accounts, API keys and billing are live.

Memberships

  • Member and Executive memberships are annual subscriptions. Each term lasts 12 months from the day it starts and renews automatically until you cancel.
  • Automatic renewal. Member and Executive memberships are annual subscriptions. They renew automatically every 12 months at the then-listed price of your plan, charged to your card on the anniversary of your purchase, until you cancel. We email you 30, 7 and 1 days before each charge.
  • Cancelling. You can cancel any time online in Console > Billing by turning off auto-renew. Your membership and its benefits then continue until the end of the period you paid for. Cancelling does not refund the current period (see the Refund Policy).
  • If a renewal payment fails. If a renewal payment does not go through, we retry it for about 14 days and your membership benefits continue meanwhile. You can update your payment method in Console > Billing at any time. If the payment still fails, your membership ends and Guest pricing applies.
  • Discount codes. A discount code lowers the price of your first membership purchase, and only that first charge. Each code works once, can't be combined with another, and stops working if it expires or is withdrawn. It doesn't apply to upgrades or renewals, which are charged at the then-listed price of your plan. Before you pay, the payment page shows what you pay today, what the plan costs when it renews and, if the promotion includes it, how much usage credit you receive.
  • Welcome credit. A promotion can add usage credit to your first membership. The payment page shows the amount before you pay. It is given once per person, only with a first membership and never on a renewal, it expires 12 months after it is granted and it can't be withdrawn. If we refund the payment that granted it, that credit is taken back.
  • Upgrading. You can upgrade from Member to Executive at any time. You pay the difference in annual fees ($1,999 minus $199 is $1,800), your renewal date stays the same, and Executive prices apply right away, and if your first membership came with a welcome credit, that credit is topped up by the same difference so it matches the higher plan. From then on Executive renews at its then-listed price.
  • Downgrading. A move to a lower plan takes effect at your next renewal, when the lower plan's then-listed price is charged. The difference isn't refunded.
  • When a membership ends. Member prices continue while your membership renews. If you cancel, or a renewal payment still fails after the retries, Guest pricing applies after your end date.
[TODO(COUNSEL)] confirm the automatic-renewal, cancellation, reminder and failed-payment disclosures meet California and other state consumer-protection and auto-renewal laws (clear disclosure and consent before purchase, easy online cancellation, advance notice of renewal).

Guest tier

  • The Guest tier has no membership fee.
  • Guest accounts can use open-weight models only, at 95% of the provider's public list price.
  • Research Share is a condition of the Guest tier. There is no Guest Private option. You consent at signup and can stop sharing by no longer using Guest keys or by upgrading to a paid membership.
  • Guest usage is capped at $10,000 per calendar year per account, measured as usage charged at the tier's prices, resetting on January 1 at 00:00 UTC. Requests past the cap are refused until you upgrade or the cap resets.
  • One Guest account per person. We do not check this automatically, but we may merge or close extra accounts that are used to claim a promotion or a free allowance more than once.
  • You must be 18 or older. Guest accounts aren't available in the EU/EEA, the UK or Switzerland at launch.

Prepaid credits

  • Usage is paid from prepaid credits. The minimum top-up is $5.
  • Credits expire 12 months after purchase.
  • Unused credits are refundable within 7 days of purchase. See the Refund Policy.
  • [TODO(COUNSEL)] check state laws on credit expiry (gift card and stored-value rules).

Pricing

  • Model prices are a percent of each provider's public list price, set by your membership tier, the model type and your key's data policy. The current table is on the Pricing page.
  • When a provider changes its list price, member prices change with it.
  • We may set a smaller discount on a specific model so its price never falls below our cost. The catalog always shows the exact price.

Payments and billing

[TODO(COUNSEL)] review this new section: paid accounts and Stripe billing now exist.
  • Card payments are processed by Stripe. Card details go directly to Stripe; we never receive or store your full card number.
  • We keep a Stripe customer id on your account, plus records of your membership, top-ups, credit balance and usage, so we can bill you and answer questions.
  • Membership fees are charged when you join or upgrade, and again at each automatic renewal until you cancel. Credit top-ups are charged when you buy them.
  • If a payment fails or is reversed, we may pause API access until the balance is settled.

Data policies

  • Private: Your prompts and outputs are never used for training and never shared or licensed. For security, abuse prevention and debugging we store request and response content, encrypted, and delete it after 30 days; error details may be kept longer. We also keep usage details (model, tokens, cost, latency, status and time).
  • Research Share: prompts and outputs from that key are stored encrypted, scrubbed for personal data and secrets, and will be used to accelerate AGI and supplied to top frontier labs for AGI purposes.
  • You set the policy per key. Changes apply only to future requests. We never change how we use data retroactively.
  • Details: Data Sharing & Research Program.

Third-party models

  • Models are provided by third parties. Their terms and usage policies, and each model's license, apply to your use and flow down to you.
  • Each model is offered only in the regions its provider supports.
  • The catalog can change. Models may be added, changed or removed.
  • Model and provider names are trademarks of their respective owners. Bearer Club is not affiliated with or endorsed by any model provider.
[TODO(COUNSEL)] list the upstream terms that must flow down (per provider and per open-weight license).

AI output notice

  • AI outputs can be inaccurate, incomplete or offensive. Independently verify factual claims before you rely on them.
  • If you build products on Bearer Club, tell your end users when they are interacting with AI.

Acceptable use

You must follow the Acceptable Use Policy.

Suspension and termination

  • We may suspend or terminate keys or accounts that break these terms or the Acceptable Use Policy, put the service or others at risk, or are required to be stopped by law or by an upstream provider.
  • You can close your account at any time.
[TODO(COUNSEL)] notice, appeal and refund handling on termination.

Satisfaction guarantee

The 100% Membership Satisfaction Guarantee lets you get your membership fee back. See the Refund Policy for the window and conditions.

Disclaimers, limitation of liability and indemnity

[TODO(COUNSEL)] draft disclaimers, limitation of liability and indemnity.

Disputes and governing law

[TODO(COUNSEL)] disputes, arbitration and governing law.

Changes to these terms

We may update these terms. We'll post the new version here and tell members about material changes before they take effect. We never change how we use data you already sent under a previous policy.
